Terms of Use

These Terms of Use (the Terms) govern access to and use of the LocalFlower platform, operated by YBI Trading Inc., a corporation registered in Ontario, Canada (LocalFlower, we, our, or us). By accessing or using our website or applications, you agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, and any additional policies posted on the platform. If you do not agree, you must discontinue use of the Service immediately.
Section I: Definitions Service means all pages of the website https://localflower.ca ( https://localflower.ca ) (the Website) and LocalFlower mobile applications (the Mobile Applications), providing access to Items listed by Sellers. User means any legally capable individual using the Service to purchase Items or arrange Delivery. Recipient means a third party designated by the User to receive the Items, including someone retrieving an Order via Self-pickup using the security code. Personal Account means a Users account created upon registration, used to manage Orders, preferences, and settings. Item means any good listed by a Seller through the Service that complies with Canadian law, including flowers, plants, confections, and gift products. Seller means a business entity or individual vendor who lists and sells Items through the Service. Sellers are independent contractors, not employees, partners, or agents of LocalFlower.. Order means a request submitted by a User to purchase Items from a Seller and or arrange Delivery. Delivery means transportation of Items provided by the Seller directly or through a third-party courier. Self-pickup means collection of an Order directly from the Sellers location. High-Demand Days means peak holidays or seasonal events designated by LocalFlower, when special cancellation policies apply. Gift Certificate means a prepaid voucher issued by a Seller, redeemable directly with that Seller. Subject to Ontario gift card regulations. Support Service means customer support via Website chat, in-app chat, or email at localflowerca@gmail.com? Chat means the in-platform messaging tool for communication between Users, Sellers, and Support.
Section II: General Provisions By using the Service, the User accepts these Terms, the Privacy Policy, the Cookie Policy, and any loyalty or promotional program rules. LocalFlower may update the Terms at any time. Continued use constitutes acceptance of the updated Terms. Users are responsible for reviewing the Terms regularly. LocalFlower may use algorithms or automated tools to recommend products. No Agency or Title Transfer. LocalFlower provides a marketplace only. Title to Items passes directly from Seller to User upon delivery or pickup. LocalFlower does not take title to or ownership of Items at any time.
Section III: Account Registration To place Orders, Users must register for a Personal Account by providing accurate details and verifying via email. Registration is free. One account per phone or email. Transfer requests must be made via Support. Personal data is processed under the Privacy Policy. By registering, Users consent to receive transactional updates and, unless opted out, promotional communications in compliance with Canada's Anti-Spam Legislation CASL.
Section IV: Orders, Payments, Delivery, Returns Placing an Order. Users place Orders via the Service. Contracts for sale and delivery are between User and Seller. LocalFlower acts solely as a marketplace operator. Sellers may use third-party couriers. Users must review product information, pricing including HST, delivery terms, and Seller details before confirming. Orders are binding once payment is confirmed. Payments. Payments are processed by Stripe or other authorized providers. LocalFlower collects payments as an agent of the Seller. All amounts are in CAD, inclusive of HST or applicable taxes. Sellers are solely responsible for charging, collecting, and remitting applicable taxes. Sellers agree to indemnify LocalFlower for any tax assessments, interest, or penalties. LocalFlower may withhold or set off payouts to Sellers in cases of refunds, chargebacks, suspected fraud, or regulatory issues. Delivery and Self-pickup. Delivery fees and timelines are shown at checkout. Sellers may limit delivery zones. Risk of loss passes upon delivery or pickup. Users or Recipients must inspect Items upon receipt. Claims for perishable Items must be raised within 24 hours. Cancellations and Refunds. Sellers may cancel if Items are unavailable, damaged, mispriced, or undeliverable. Perishable, personalized, or custom goods are non-cancellable and non-refundable once confirmed, unless defective or required by law. Refunds are issued within 14 business days. Returns. Perishable goods are non-returnable unless defective on arrival. Non-perishables may be returned within 14 days if unused and in saleable condition. Refunds are processed within 14 business days. Substitution Policy. For floral arrangements, Sellers may substitute items of equal or higher value due to availability. Efforts will be made to contact the User for material substitutions.
Disputes and Claims. Users must raise disputes via Support within 3 days of delivery. LocalFlower may mediate but is not liable for Seller performance. If unresolved, Users may pursue remedies under Ontario law.
Section V: Feedback and Reviews Users may post reviews and photos of Items. By posting, Users grant LocalFlower a non-exclusive, royalty-free license to use content for marketing. Users represent that content does not infringe third-party rights and agree to indemnify LocalFlower for related claims. LocalFlower may moderate or remove reviews that are abusive, defamatory, irrelevant, infringing, or unlawful. A notice-and-takedown process for IP complaints is available via Support.
Section VI: Seller Obligations Sellers represent and warrant compliance with the Canada Consumer Product Safety Act, CFIA regulations, and all other applicable laws. Sellers must hold necessary licenses or permits, provide accurate product descriptions, pricing, allergen disclosures, and labelling. Sellers must cooperate in recalls and regulatory investigations. Sellers indemnify LocalFlower against claims relating to product liability, health or safety issues, IP infringement, age-restricted sales, or tax compliance.
Section VII: Limitation of Liability LocalFlower provides a platform only and does not warrant or guarantee the quality, safety, or legality of Items. Responsibility lies with the Seller. LocalFlower is not liable for interruptions, access issues, or third-party actions. Except where prohibited by law, LocalFlower liability to any Seller or business User is limited to the greater of CAD 100 or the total amount paid to LocalFlower by that party in the last six months. Nothing in these Terms limits consumer rights under Ontario law.
Section VIII: Accessibility LocalFlower is committed to meeting the requirements of the Accessibility for Ontarians with Disabilities Act AODA and WCAG 2.0 or 2.1, as applicable.
Section IX: Governing Law and Jurisdiction These Terms are governed by the laws of Ontario and Canada. Disputes shall be resolved by the courts of Ontario, unless otherwise required by law.
